These Terms of Service (the “Terms”) form a legal agreement between you (“you,” “your,” or “User”) and Dedry (“Dedry,” “we,” “us,” or “our”), a corporate-video-studio business operating in Canada, regarding your access to and use of our website located at dedry.pro and any related services, content, communications, deliverables, and offerings provided by Dedry (collectively, the “Services”).

By accessing, browsing, submitting an inquiry through, or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and all applicable laws in Canada, including applicable federal and provincial laws. If you do not agree to these Terms, do not use the Services.

1. Introduction and Acceptance of Terms

These Terms govern your use of the Services provided by Dedry. If you are accepting these Terms on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, and in that case “you” and “your” will refer to that entity.

We may require additional agreements, statements of work, project proposals, production schedules, or order forms for specific projects. If there is any conflict between these Terms and a signed written agreement with Dedry, the signed written agreement will control for that project to the extent of the conflict.

2. Scope of Services

Dedry provides corporate-video-studio services, which may include, without limitation:

Any timelines, deliverables, milestones, number of revisions, technical specifications, or usage rights will be set out in a proposal, invoice, statement of work, or written communication from Dedry. Unless otherwise agreed in writing, all services are provided on a commercially reasonable efforts basis.

Dedry may subcontract portions of the Services, provided that Dedry remains responsible for the performance of the Services in accordance with these Terms, subject to applicable law and any written agreement to the contrary.

3. User Obligations and Responsibilities

You agree to:

You are solely responsible for the legality, accuracy, and appropriateness of materials you provide to Dedry and of your ultimate use of any deliverables.

4. Payment Terms and Conditions

Fees, payment schedules, deposit requirements, travel charges, equipment fees, revision charges, licensing fees, and any other applicable amounts will be specified in a proposal, invoice, or statement of work. Unless otherwise stated:

If a project exceeds the agreed scope due to changes requested by you, additional fees may apply. Dedry may not be required to commence or continue work until outstanding amounts are paid. You are responsible for bank charges, currency conversion charges, chargeback fees, collection costs, and reasonable legal fees to the extent permitted by law.

5. Cancellation and Refund Policy

You may request cancellation of a project by providing written notice to Dedry. Cancellation terms depend on the project stage and any written agreement between the parties.

Refunds, if any, are granted only at Dedry’s discretion or where required by applicable law. If Dedry is unable to provide the Services due to circumstances within our control, we will use commercially reasonable efforts to reschedule, complete the work, or provide a refund for the portion not delivered, as appropriate and required by law.

6. Liability Limitations

To the fullest extent permitted by applicable law:

Nothing in these Terms limits liability that cannot be limited under applicable law, including liability for fraud, wilful misconduct, or other liability that cannot lawfully be excluded.

7. Intellectual Property Rights

Unless otherwise agreed in writing:

Unless you notify Dedry in writing otherwise before project completion, you grant Dedry the right to display completed work, excerpts, stills, behind-the-scenes materials, and your name and logo in Dedry’s portfolio, website, case studies, social media, and promotional materials for self-promotional purposes, subject to any confidentiality obligations and applicable law. If a confidentiality agreement or written restriction applies, that agreement will govern.

You represent and warrant that any materials you provide do not infringe the intellectual property or other rights of any person or entity and that you have all necessary rights to permit Dedry’s use of them in connection with the Services.

8. Data Protection and Privacy

Dedry may collect, use, disclose, and retain personal information in connection with the Services, including contact details, project information, billing information, communications, and technical data. We handle personal information in accordance with applicable Canadian privacy laws, including the Personal Information Protection and Electronic Documents Act (PIPEDA) and applicable provincial privacy laws, as relevant.

By using the Services, you consent to the collection, use, and disclosure of personal information as reasonably necessary to provide, maintain, and improve the Services, process payments, communicate with you, manage projects, meet legal obligations, and enforce these Terms.

We may share personal information with service providers, contractors, payment processors, cloud hosting providers, legal or accounting advisors, and other third parties strictly as necessary to deliver the Services or comply with law, subject to confidentiality and data protection obligations where appropriate.

You are responsible for ensuring that you have obtained all necessary consents required to provide Dedry with personal information of third parties, including employees, clients, contractors, or guests appearing in footage or provided in project materials.

For privacy-related questions, please contact Dedry using the contact information below.

9. Force Majeure

Dedry will not be liable for any failure or delay in performing its obligations if caused by events beyond its reasonable control, including but not limited to acts of God, fire, flood, severe weather, epidemic, pandemic, war, terrorism, civil unrest, labour disputes, power outages, equipment failure, governmental actions, travel restrictions, venue closures, supply shortages, or failures of third-party services.

Where practicable, Dedry will use commercially reasonable efforts to mitigate the effect of a force majeure event and resume performance as soon as reasonably possible. If a force majeure event materially affects a project, the parties may agree to reschedule, modify the scope, or terminate the affected portion of the Services on fair and reasonable terms.

10. Changes to Terms

Dedry may update or modify these Terms from time to time by posting a revised version on dedry.pro or by other reasonable means. The revised Terms will take effect on the date indicated in the updated version, unless otherwise stated.

Your continued use of the Services after the effective date of any revised Terms constitutes your acceptance of the updated Terms. If you do not agree to the revised Terms, you must stop using the Services.

11. Applicable Law and Jurisdiction

These Terms, the Services, and any dispute, claim, or controversy arising out of or relating to them shall be governed by and construed in accordance with the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to conflict of laws principles.

You agree that the courts located in Calgary, Alberta, Canada shall have exclusive jurisdiction over any legal proceedings arising out of or relating to these Terms or the Services, except where applicable law requires otherwise or where Dedry elects to seek injunctive or equitable relief in any competent jurisdiction to protect its rights.

13. Severability Clause

If any provision of these Terms is held to be invalid, unlawful, void, or unenforceable by a court of competent jurisdiction, that provision shall be deemed severed from these Terms to the minimum extent necessary, and the remainder of these Terms shall continue in full force and effect.

If any invalid or unenforceable provision can be modified to be valid and enforceable while preserving its intent, that provision will be interpreted accordingly to the fullest extent permitted by law.

These Terms constitute the entire agreement between you and Dedry regarding the subject matter hereof, unless superseded by a separate written agreement signed by both parties.
